1. Acceptance of these terms

These Terms and Conditions govern your use of this website and the Allocator IQ (AIQ) platform, both operated by Gnosis Partners [full legal entity name] (Gnosis, we, us), licensed in the United Arab Emirates under licence number [licence number], with its registered address at [registered address].

By accessing the website or platform, you accept these terms. If you act for an organisation, you confirm that you have authority to bind it. If you do not accept these terms, do not use the website or platform.

Where you hold a separate subscription or services agreement with Gnosis, that agreement prevails over these terms to the extent of any conflict.

2. Eligibility

The website and platform are directed solely to institutional allocators and professional investors, including family offices, pension funds, funds of funds, trading pods, registered investment companies and qualifying high-net-worth individuals.

By using them, you represent that:

• you qualify as a professional client, institutional investor, Eligible Contract Participant or equivalent category under the law of your jurisdiction;
• you are not a retail investor;
• your access does not breach any law or regulation that applies to you.

We may request evidence of eligibility and may refuse or withdraw access at our discretion.

3. No advice and no offer

Gnosis provides information, analytical tools and introductions. Gnosis does not:

• provide investment, tax, accounting or legal advice;
• recommend, endorse or select any manager, program or opportunity;
• advise on allocation decisions;
• manage client assets, hold custody or execute orders.

Nothing on the website or platform is an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other financial product. Any such offer is made only through the relevant manager's offering documents, in jurisdictions where it is lawful.

You are responsible for your own investment decisions and for obtaining independent professional advice.

4. Platform access and accounts

• Access to AIQ follows approval of a Request Access submission. Approval is at our discretion.
• Accounts are issued to named individuals. You must not share credentials or allow others to use your account.
• You must keep your credentials secure and notify us at [support email] without delay if you suspect unauthorised use.
• You are responsible for activity carried out under your account.
• We may change, suspend or withdraw features of the platform. We will give reasonable notice of material changes where practicable.

5. Acceptable use

You must not:

• copy, scrape, harvest or bulk-download platform data, or use automated tools to do so;
• redistribute, resell or publish platform content outside your organisation;
• use platform data to build a competing product or train machine-learning models;
• attempt to bypass security, access controls or usage limits;
• reverse engineer the platform, except where the law expressly permits it;
• upload malicious code or interfere with the operation of the service;
• use the service for any unlawful purpose or in breach of sanctions.

6. Intellectual property

Gnosis and its licensors own all intellectual property rights in the website, the platform, its software, design, analytics, scoring methods, reports and compilations of data.

We grant you a limited, non-exclusive, non-transferable and revocable licence to use the platform and its content for your organisation's internal evaluation of managers and opportunities. All other rights are reserved.

Manager names, trade marks and supplied materials remain the property of their owners.

7. Data and third-party content

• Manager and program data on AIQ comes primarily from managers and from third-party sources. Manager factsheets rely solely on manager-supplied data.
• We apply quality checks. We do not audit or independently verify all data and do not guarantee its accuracy, completeness or timeliness.
• AI-assisted outputs, classifications and summaries may contain errors or omissions. Treat them as a starting point for your own due diligence.
• Figures marked as illustrative do not represent actual accounts or performance.
• Links to third-party websites are provided for convenience. We are not responsible for their content or practices.

8. Introductions and partner opportunities

Gnosis introduces institutional allocators to investment managers regulated in their home jurisdiction. Through partners, Gnosis also introduces opportunities in private markets, venture capital, emerging managers, art and Broadway productions.

• An introduction is not a recommendation or an assessment of suitability.
• Any investment or engagement is a matter solely between you and the manager or partner, on their terms and documents.
• Partners are independent of Gnosis. Gnosis is not responsible for their acts, omissions or regulatory status.
• You are responsible for your own due diligence before any commitment.
• Gnosis may receive remuneration from managers or partners in connection with introductions. Where it does, it will disclose this as required by applicable law.

9. Confidentiality

Platform content, manager materials and introduction details not publicly available are confidential. You must use them only for the purpose for which they were provided and must not disclose them outside your organisation without our written consent, unless the law requires disclosure.

10. Disclaimer of warranties

The website and platform are provided on an "as is" and "as available" basis. To the extent permitted by law, we exclude all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose and uninterrupted or error-free operation.

11. Limitation of liability

To the extent permitted by law:

• Gnosis is not liable for any investment loss, or for any loss arising from reliance on website or platform content, introductions or AI-assisted outputs;
• Gnosis is not liable for indirect or consequential loss, loss of profit, revenue, goodwill or data;
• Gnosis's total liability in connection with these terms is limited to [the fees paid by you in the 12 months before the claim / amount].

Nothing in these terms limits liability for fraud, wilful misconduct or any liability that may not be limited under applicable law.

12. Indemnity

You agree to indemnify Gnosis, its officers, employees and agents against claims, losses and costs, including reasonable legal fees, arising from your breach of these terms, your misuse of the website or platform, or your breach of applicable law.

13. Suspension and termination

We may suspend or terminate your access at any time if you breach these terms, if your eligibility lapses, or where required by law or regulation. You may close your account by writing to [support email].

On termination, your licence ends and you must stop using platform content. The sections on intellectual property, confidentiality, warranties, liability, indemnity and governing law survive termination.

14. Governing law and jurisdiction
